Terms of Service

These Terms of Service govern your use of Antares services. Antares is operated by Dark Lake, LLC (“Dark Lake”). By accepting an invitation or creating an account, you confirm that you can bind your organization to these terms. If you do not agree, you may not use the Service.

1. Eligibility and Accounts

Antares is licensed for use by organizations that have a lawful right to onboard and manage BI analytics data.

Each organization must designate authorized users and maintain accurate account contacts. You are responsible for maintaining the confidentiality of your credentials and for all activity on accounts you control.

2. Service Use

Antares is provided as a SaaS platform for BI analytics, workbook analysis, and governance across your analytics environment.

You may not use the service to run unauthorized activity, disrupt service reliability, or access data outside your rights.

  • No reverse engineering or circumvention of access controls.
  • No abusive automation that impacts platform reliability.
  • No redistribution of tenant data without permitted rights.
  • No processing of data you do not have rights to.

3. Orders, Data, and Privacy

For paid plans, applicable order forms and statements of work are incorporated into these Terms. If there is a conflict, the order form controls for commercial terms and these Terms control for general legal terms unless the order form states otherwise.

You retain ownership of any data you submit to the Service. You grant us a limited license to process your data solely to provide the Service.

We process data in accordance with our Privacy Policy. By using the Service, you consent to such processing. The Service may integrate with third-party services; your use of such services is subject to their respective terms.

For business customers processing personal data, our Data Processing Addendum (DPA) applies when executed by the parties.

4. Confidentiality and Intellectual Property

Each party may receive non-public information from the other party. The receiving party will use that information only to perform under these Terms, protect it with reasonable care, and disclose it only to personnel and contractors with a need to know and confidentiality obligations.

Confidentiality obligations do not apply to information that is public through no fault of the receiving party, already known without confidentiality restriction, independently developed, or rightfully received from a third party.

The Service and its original content, features, and functionality are owned by Dark Lake and are protected by applicable intellectual property laws.

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

5. Security and Incident Response

Dark Lake maintains administrative, technical, and organizational safeguards appropriate to the nature of the Service.

If we confirm unauthorized access to personal data in our systems, we will notify affected customers without undue delay as required by applicable law.

6. Billing and Plan Terms

Plan limits and pricing are managed in the Billing section of your environment. Usage-driven upgrades or add-ons may be required as usage grows.

Unless otherwise stated in an order form, fees are charged according to the active plan and invoicing cycle.

  • Unpaid invoices may suspend access to paid features.
  • Changes in usage can affect seat and feature access.

7. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee that the Service will be uninterrupted, error-free, or that results will be accurate or reliable.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DARK LAKE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIABILITY LIMITS ABOVE DO NOT APPLY TO A PARTY’S FRAUD, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY OBLIGATIONS.

8. Indemnification

Customer will defend and indemnify Dark Lake from third-party claims arising from Customer Data or Customer’s unlawful use of the Service.

Dark Lake will defend and indemnify Customer from third-party claims that the unmodified Service infringes a third-party intellectual property right, subject to prompt notice and reasonable cooperation.

9. Termination

You may terminate your account at any time through account settings. We may suspend or terminate access for abuse, nonpayment, or sustained security risk after reasonable notice.

Upon termination, your right to use the Service ceases. We may delete your data in accordance with our retention policies.

10. General Provisions

These Terms are governed by the law and venue specified in an applicable order form. If there is no order form, these Terms are governed by the laws of the jurisdiction where Dark Lake is organized, without regard to conflict of law rules.

We may modify these Terms from time to time. For material changes, we will provide notice (for example, through the Service or email) and update the effective date. Continued use after the effective date of the update constitutes acceptance.

These Terms constitute the entire agreement between you and Dark Lake regarding the Service. If any provision is found unenforceable, the remaining provisions continue in effect. Failure to enforce any provision does not constitute a waiver. You may not assign these Terms; we may assign our rights without restriction.
